1. Introduction and Acceptance

Welcome to Hinge Games Ltd. ("Hinge Games," "we," "us," or "our"), operating the website at https://hingegames.com and the mobile application Pennable: Brain Smarts (collectively, the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service.

Please read these Terms carefully. They form a legally binding agreement between you, the individual or entity using the Service ("User" or "you"), and Hinge Games Ltd. By accessing or using the Service or downloading Pennable: Brain Smarts, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Service.

2. Eligibility and User Accounts

2.1 Eligibility

To use the Service, you must be at least 13 years old. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you must have your parent or legal guardian review these Terms with you and agree to them on your behalf. They must also supervise your use of the Service.

2.2 Account Creation and Device Pairing

Certain features of Pennable: Brain Smarts may require you to create an account, log in via third-party authentication services (such as Patreon), or pair devices using temporary session codes. You agree to provide accurate, current, and complete information during registration and pairing. You may not use usernames, account names, or pairing credentials that are offensive, fraudulent, or violate third-party rights.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, session tokens, and paired devices. You agree to notify Hinge Games immediately of any unauthorized access to or use of your account. Hinge Games is not liable for any loss or damage arising from your failure to protect your login or session credentials.

3. License to Use the Service

Subject to your compliance with these Terms, Hinge Games grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and access Pennable: Brain Smarts on personal devices for personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer, decompile, or attempt to extract the source code of the software, unless permitted by applicable law or with our express written consent.

4. User Content

You remain solely responsible for any content, messages, comments, or puzzle submissions ("User Content") you transmit through the Service. By submitting User Content, you grant Hinge Games a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting the Service. You represent and warrant that your User Content does not violate any third-party rights or applicable laws.

5. Intellectual Property Rights

The Service, including the Pennable: Brain Smarts mobile application, artwork, puzzle content, software code, design, audio, trademarks, and logos, is owned by Hinge Games Ltd. or its licensors and is protected by Canadian and international intellectual property laws. "Pennable," "Pennable: Brain Smarts," and "Hinge Games" are trademarks of Hinge Games Ltd. You may not use these marks without prior written authorization.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Using the Service for any unlawful or unauthorized purpose.
Attempting to circumvent, breach, or disable license validation mechanisms, subscription checks, or device pairing logic.
Distributing malware, spyware, viruses, or disruptive code through or against the Service.
Impersonating another person or entity, or falsifying your subscription status or Patreon tier.
Reverse engineering, scraping, or using automated tools to extract game assets, puzzles, or source code.

7. Subscriptions and In-App Purchases

7.1 Auto-Renewable Subscriptions

Pennable: Brain Smarts offers auto-renewable premium subscriptions (such as "Monthly Premium") that grant access to crosswords, themes, and additional digital features ("Subscriptions").

7.2 Billing and Payment

Apple App Store Purchases: Payments for Subscriptions initiated through iOS devices are processed by Apple Inc. Payment will be charged to your Apple ID Account at confirmation of purchase.
Google Play Store Purchases: Payments for Subscriptions initiated through Android devices are processed by Google LLC. Payment will be charged to your Google Account at confirmation of purchase.
Patreon Integration: If you access premium features via Patreon authentication, your billing and pledge terms are governed by Patreon’s Terms of Use. We validate your active Patreon pledge status periodically.

7.3 Auto-Renewal and Timing

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period. Your Apple ID Account or Google Play Account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription rate.

7.4 Cancellation and Management

You can manage or turn off auto-renewal for your Subscriptions at any time by going to your Account Settings on the Apple App Store or Google Play Store after purchase. Deleting or uninstalling the Pennable: Brain Smarts app from your device does not automatically cancel your active subscription.

7.5 Price Changes

Hinge Games reserves the right to change subscription pricing at any time. Any price changes will be communicated in advance in accordance with Apple App Store and Google Play Store policies.

7.6 Refunds

All purchases and subscription fees are final and non-refundable, except as required by applicable law or specified by Apple App Store or Google Play Store refund policies. Refund requests must be directed to the platform store through which the purchase was made.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, HINGE GAMES LTD. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT PENNABLE: BRAIN SMARTS WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HINGE GAMES LTD., ITS DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE. THE TOTAL AGGREGATE LIABILITY OF HINGE GAMES LTD. FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HINGE GAMES LTD. FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless Hinge Games Ltd. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms, your User Content, or your misuse of the Service.

11. Termination

We reserve the right to suspend or terminate your access to Pennable: Brain Smarts immediately, without prior notice or liability, if you violate any provision of these Terms. Upon termination, your right to use the Service immediately ceases.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Toronto, Ontario, Canada.

13. Dispute Resolution

In the event of any dispute, you agree to first attempt informal resolution by contacting Hinge Games at contact@hingegames.com. If unresolved informally, disputes will be settled by binding arbitration in Toronto, Ontario, on an individual basis, and you waive any right to participate in a class-action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may revise these Terms at our sole discretion. Revisions become effective immediately upon being posted at https://hingegames.com or within the Pennable: Brain Smarts mobile application. Your continued use of the Service following the posting of updated Terms constitutes your acceptance of the changes.
